英文合同丨合同中的制式短语

在英文合同中，制式短语较为固定。一方面能够充分表达合同的主旨思想，也能够规避在合同执行过程中的商法风险。现将合同中的部分制式短语进行分析：#瑞晓学习#

subject to

subject to通常用来表示“视…而定、以…为条件”，即必须优先满足subject to之后的条件。注意：subject as hereinafter provided表示subject to the following provisions of this clause，也表示subject to the following provisions of this agreement.

Clause 1 subect to clause 2表明clause 2 优先于 clause 1

notwithstanding

通常情况下，notwithstanding表示“尽管…但…”，后面所接的内容应放在次要位置予以考虑。与subject to使用的效果正好相反

notwithstanding后紧跟any other provision of this Agreement表明本条款就其所规定的内容在整个合同中处于最优先考虑的地位，任何其他条款都不得同他抵触，即使抵触，也以本条款为准。若一个协议中出现两个条款都有notwithstanding any other provision of this Agreement，则两者很可能发生冲突，应特别注意。

clause 1 notwithstanding clause 2 表明 clause 1 优先于 clause 2

without prejudice to

without prejudice to表示“在不影响…的情况下”，比如without prejudice to the existing rights表示“在不影响既有权利的情况下”。

Clause 1 without prejudice to clause 2表明clause 1和clause 2的地位相当，不存在哪个条款优先考虑的情况。

to the extent

extent表示“界限、范围、程度”，to the extent表示“达到这样的程度或范围”。To the extent除单独使用后，还和连词一起使用，如if and to the extent（“如果且仅限于”）或where and to the extent（“如果且仅当”）

the same

the same在英文合同中除用作the same…as外，主要用来代替前面已经表述过的事物或状况，从而避免重复。

to that/the/such effect

to that effect一般表示“大意是……”a certificate to that effect指“和在检验证书上批注差不多的效果”；a notice to such effect指“大意为…的通知”；a statement to that effect指“大意为同意…的说明”。

in/at one"s discretion

in/at one"s discretion意为“自由决定、自由裁量”

as of

as of在英文合同中表示“在…具体的某一天”，类似于普通英文中的on the date

inter alia

inter alia表示among other things，即“除了别的之外，其中包括”。拉丁词汇，通常紧跟意为“包括”的词，如“include,inter alia”，表示“include without limitation to”。

in witness of

in witness of类似于中文的“以资证明、以资为证”，属于技术性措辞，放在合同双方签名之前的套话。也用in witness whereof

叠词

英文合同中的叠词，null and void, any and all, cease or desist, full and complete, save and except,force and effect, perform and discharge, represent and warrant, ture and correct, undertake and agree, unless and until等。两个同义词或者近义词复叠一起使用，形成相对固定或稳定的词组，或是为了加强语势、或是为了措辞严谨。叠词用法非常正式，如果只用其中一个词基本上也不会对合同条款的意思产生大的影响。

so agree/request/declare/其他动词

英文合同常见表述，so主要是为了避免重复文中提到的内容，与the same类似。如果用the same，则放在动词之后，如agree the same等

include without limitation

include without limitation表示“包括但不限于…”，也可用include but not limited to/including without limitation…/include but not restricted to等。也可以在合同定义中进行include和including的定义，如The words "includes" or "including" mean "includes without limitation" and "including without limitation" respectively.

注意：include即后面列举的事物尚未穷尽；comprise或consist of后面列举的事物视为已经穷尽。
